The shares in Oslo Børs are issued in accordance with the Public Limited Companies Act. All shares are issued in electronic form in the VPS.
Share rights
The Merged Company will have one class of shares, and all shares will give equal rights in every respect, including dividend rights. Each share will be entitled to one vote at a general meeting of the shareholders of the Merged Company, and no shareholders will enjoy different voting rights. The shares will be freely transferable.
The Stock Exchange Act and the Securities Register Act establish the general principles that no single party may own shares that represent more than 10% of the share capital or voting capital of a stock exchange or a securities register. This does not prevent a stock exchange or a securities register from being owned by an undertaking with its head office in Norway which has no other activities than the management of its ownership of a stock exchange or a securities register or a company carrying on activities normally associated with this. In this case the restrictions on ownership that apply to a stock exchange or a securities register will also apply in the same way to the holding company.
